LONDON – March 3, 2023 – Cobham Ultra SeniorCo S.à r.l, Cobham Ultra SunCo S.à r.l. and Cobham Ultra PIKCo S.à r.l. (together with their subsidiaries, the “Group”) are pleased to announce that Ultra Electronics Defense, Inc. has signed a definitive agreement with CAES Systems Holdings LLC, a leading provider of mission-critical advanced radio frequency technology, to sell Herley Industries LLC and Herley - CTI LLC (the “Transaction”). The Transaction is expected to close on March 3, 2023. In accordance with the Group’s principal financing agreements, a fairness opinion has been commissioned and delivered to the agent and trustees under the principal financing agreements in relation to the Transaction.
